These Terms of Use ("Terms") govern your use of Modly.One ("Service"). By using our platform, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use our services.
2. Accounts and Organizations
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. Users with organization email domains may create new organizations and invite other users. Admin Users can manage bots, prompts, documents, and user access. Non-Admin Users can view bots and manage their own accounts.
3. Subscription and Payment
Access to Modly.One is based on subscription tiers such as Basic and Pro. Payment terms and renewals will be communicated during checkout. Each subscription plan includes monthly message caps (Individual: 100K, Small Team: 300K, Large Team: 600K) to protect platform infrastructure. Exceeding these limits will temporarily pause your assistants until the next billing cycle or plan upgrade. You are responsible for providing your own OpenAI API key and paying OpenAI directly for AI API usage.
4. Bring Your Own API Key
If you connect your own third-party API key (e.g., OpenAI or other LLM provider): You are solely responsible for all usage and charges associated with your key. Modly does not store your API key beyond what is required to operate the service. You agree not to share, resell, sublicense, or expose your API key through Modly to third parties. Modly acts as an orchestration layer and does not assume liability for third-party API usage under your credentials.
5. Acceptable Use
You agree not to use Modly to operate as a proxy, relay, or API resale service; generate high-volume automated traffic unrelated to legitimate community moderation or support use; circumvent third-party provider rate limits or usage policies; interfere with the performance, integrity, or availability of the platform; reverse engineer, scrape, or exploit the system beyond its intended purpose; attempt to access another user's account without authorization; use the service for unlawful, harmful, or abusive purposes; or upload or use content that infringes the rights of others.
6. Fair Use and Platform Protection
To protect service reliability for all users, Modly reserves the right to monitor usage patterns, throttle excessive activity, introduce usage limits or pricing tiers at any time, and suspend or terminate accounts engaged in abusive or harmful behavior. We will make reasonable efforts to notify users before taking action, except in cases of clear abuse or security risk.
7. Third-Party Compliance
If using a third-party API key, you agree to comply with that provider's terms of service and usage policies. Modly is not responsible for suspensions, billing disputes, or enforcement actions taken by third-party providers.
8. Bot and Content Responsibility
Admins control prompts and documents uploaded to their bots. You are responsible for the content your organization provides to Modly.One. Modly.One may enforce community guidelines and remove content that violates these Terms.
9. Service Availability
We strive to provide reliable service but do not guarantee uninterrupted access. Certain features may require third-party platforms (e.g., Telegram, Discord), which are subject to their own terms.
10. Termination
We may suspend or terminate your account if you violate these Terms. You may stop using the Service at any time by deleting your account.
11. Disclaimer and Limitation of Liability
The Service is provided "as is" without warranties of any kind. Modly.One is not liable for indirect, incidental, or consequential damages arising from your use of the Service.
12. Changes
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of updated Terms.
